Consulting Agreement: What is it?

A consulting agreement outlines the services a consultant will provide and the client’s responsibilities, including payment and support. It can be specific or broad and covers the scope of services, research, and implementation. The agreement also addresses the client’s commitments, including access to necessary data and payment terms. A written contract is recommended for enforceability.

A consulting agreement is an agreement between a consultant and a client that identifies the terms and conditions relating to the type of consulting services the consultant will provide. Furthermore, the terms of the legal contract also include provisions relating to the client’s responsibilities, both in terms of payment and support of the consultant’s efforts. A consulting agreement can be very specific as to the terms of the relationship and include specific start and end dates, or be quite broad and open-ended, depending on the wishes of the two parties involved in the legal agreement.

There are a number of issues that are addressed in the terms and conditions of a consultancy contract. Some of these provisions involve defining the scope of services that the consultant will provide. This may include committing the consultant to spend a minimum amount of time each week at the client’s business location, interacting with company employees, or working with the company’s financial and other records. The terms of the contract may also commit the consultant to spend a certain amount of time researching, developing new strategies or programs for the client, or even participating in the implementation of those new strategies.

In addition to specifying the consultant’s responsibilities, a consultancy agreement will also address the commitments made by the client to the consultant. This may include offering you full access to any proprietary documents or other data required by the consultant to fulfill its commitments. The terms are likely to commit the client to allowing time to meet with the consultant from time to time and generally making sure that the consultant has what he needs to do the job. In addition to establishing the essential elements of support and interaction with the consultant, the consultancy agreement will also address the terms of payment for services rendered, including a timetable for receiving such payments.

Most consulting services require some sort of written contract before committing much time or resources to a client. While a consultancy contract can be structured like a verbal contract, this practice is generally discouraged, as the ability to enforce verbal contracts is somewhat limited, even in countries that recognize the validity of verbal agreements. For this reason, it is a good idea for both the consultancy and the client to establish a written agreement and have the legal adviser review the terms and conditions before making a firm commitment.
